Terms and conditions governing use of the AccuSpeech website and services

These Terms of Service govern your access to and use of the AccuSpeech website (accuspeechmobile.com) and any related services. By accessing our website or using our services, you agree to be bound by these terms. If you do not agree, please do not use our website or services.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Vangard Voice Systems, Inc., the developer of AccuSpeech (“AccuSpeech,” “we,” “us,” or “our”). By accessing or using accuspeechmobile.com (the “Website”) or any AccuSpeech services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

AccuSpeech provides a device-based WMS (Warehouse Management System) automation platform that enables voice automation, scan automation, and barcode parsing for warehouse and distribution operations. Our website provides information about our products and services, demo scheduling, partner resources, and related content.
These Terms apply to:

  • Use of the accuspeech.com website
  • Demo requests and scheduling
  • Access to the AccuSpeech partner and reseller portal
  • Download of marketing collateral and technical documentation
  • Any communications or transactions initiated through the website

Software license terms for AccuSpeech software deployed within your organization are governed by a separate Software License Agreement entered into between AccuSpeech and your organization.

3. Eligibility

You must be at least 18 years of age and have the authority to enter into binding agreements on behalf of yourself or the organization you represent. By using our website, you represent and warrant that you meet these eligibility requirements.

4. Acceptable Use

You agree to use our website and services only for lawful purposes and in a manner consistent with these Terms. You agree not to:

  • Use the website in any way that violates applicable local, national, or international laws or regulations
  • Attempt to gain unauthorized access to any part of our website, servers, or systems
  • Transmit any unsolicited or unauthorized advertising or promotional material
  • Introduce any viruses, malware, or other harmful code to our website or systems
  • Scrape, crawl, or systematically extract data from our website without our express written permission
  • Impersonate AccuSpeech, our employees, partners, or any other person or entity
  • Reproduce, duplicate, copy, sell, or exploit any portion of our website or content without our express written permission

5. Intellectual Property

5.1 Our Intellectual Property

The AccuSpeech name, logo, tagline (“Plug In. Automate. Done.”), website content, software, documentation, marketing materials, and all related intellectual property are owned by Vangard Voice Systems, Inc. and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not use our trademarks, logos, or brand elements without our express prior written consent.

5.2 Limited License to Use Website

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for your personal or internal business purposes in accordance with these Terms. This license does not include the right to:

  • Reproduce or distribute any content from our website
  • Modify or create derivative works based on our content
  • Use our content for commercial purposes without our written permission
  • Remove any copyright, trademark, or proprietary notices

5.3 User-Submitted Content

If you submit any content to us (such as testimonials, case study information, or feedback), you grant AccuSpeech a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with our products and services. You represent that you have the right to grant this license and that the content does not violate any third-party rights.

6. Demo Requests and Scheduling

When you request a product demonstration through our website, you agree to provide accurate and complete contact information. Demo scheduling is handled through Calendly, a third-party scheduling service. Your use of Calendly is subject to Calendly’s own terms of service and privacy policy. AccuSpeech reserves the right to decline or reschedule demo requests at our discretion. Booking a demo does not constitute a commitment to purchase or enter into any commercial agreement.

7. Partner and Reseller Portal

Access to the AccuSpeech partner and reseller portal requires registration and approval by AccuSpeech. By registering for portal access, you agree to:

  • Provide accurate and complete registration information
  • Maintain the confidentiality of your login credentials
  • Use portal resources only in connection with your authorized AccuSpeech partner or reseller activities
  • Comply with any additional terms set forth in your Partner or Reseller Agreement

AccuSpeech reserves the right to suspend or terminate portal access for any violation of these Terms or your Partner Agreement.

8. Disclaimer of Warranties

THE ACCUSPEECH WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AccuSpeech does not warrant that:

  • The website will be uninterrupted, timely, secure, or error-free
  • The information on the website is accurate, complete, or current
  • Any defects on the website will be corrected
  • Performance statistics and results cited on the website (such as speed gains and ROI timelines) reflect real customer deployments but are not guarantees of results for any specific implementation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACCUSPEECH AND VANGARD VOICE SYSTEMS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE WEBSITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

10. Indemnification

You agree to indemnify, defend, and hold harmless AccuSpeech, Vangard Voice Systems, Inc., and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of or access to our website or services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit through our website

11. Third-Party Links and Services

Our website may contain links to third-party websites and services including Calendly (demo scheduling), LinkedIn, YouTube, Facebook, and partner websites. These links are provided for your convenience only. AccuSpeech does not endorse and is not responsible for the content, privacy practices, or terms of any third-party website. Your use of third-party websites is at your own risk and subject to those websites’ own terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. You agree that any dispute arising from or relating to these Terms or your use of our website shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to the personal jurisdiction of those courts.
For disputes involving amounts under $10,000, either party may elect to resolve the dispute through binding non-appearance-based arbitration conducted by a mutually agreed arbitrator.

13. Modifications to Terms

AccuSpeech reserves the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this document and post the revised Terms on our website. Your continued use of our website after any changes constitutes your acceptance of the revised Terms.
We encourage you to review these Terms periodically.

14. Termination

AccuSpeech reserves the right to terminate or suspend your access to our website and services, without notice, for any conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, AccuSpeech, or third parties, or for any other reason.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AccuSpeech regarding your use of our website and supersede all prior agreements and understandings relating to the same subject matter. Software license terms are governed by separate agreements.
